Terms and Conditions

These terms and conditions are an integral part of the Agreement entered into between the Client and SummarAI, and define binding rules and conditions of providing Services and Products and use of Services and Products. These terms and conditions govern the contractual relationship between us and the Client.

SECTION 1- DEFINITIONS

The definitions set below have for the purpose of these terms and conditions following meaning:

T&C – means these Terms and Conditions.

Agreement – means a Service Agreement entered into between the Client and SummarAI.

Client – means an individual conducting business or legal entity entering into Agreement with SummarAI.

Product – means any Service or its part provided under specific Provider’s brand name based on SummarAI’s policy. The Client is buying the Product AS IS.

Service – means the specific Service provided by SummarAI to the Client under the Agreement, and which may include license to the Service, maintenance of the Service and Service support.

SECTION 2- PRICE

By agreeing to the Terms & Conditions when making a purchase, you automatically sign up for an auto-renewal of your subscription. Your subscription will be automatically renewed at the end of each subscription term based on the subscription period you chose during your purchase. You will be charged the rate stated at the time of purchase at the beginning of each billing term of your subscription via the billing method you have provided to us. Please note that regional pricing may apply, and the subscription rate may vary based on your location, currency, or applicable local taxes. Any price adjustments due to regional pricing will be reflected at checkout before completing your purchase.

SECTION 3- REFUND POLICY

We understand that circumstances may arise where you would like to cancel your subscription and request a refund. Therefore, we have implemented the following refund policy:

Refund Eligibility: a. In order to be eligible for a refund, you must request the cancellation of your subscription within 7 days from the initial purchase date.

Refund Procedure: a. To request a refund, please contact our customer support team at booksummarai@gmail.com b. You will be required to provide your purchase details and a reason for the refund request. c. Once your refund request is received, we will review it and notify you of the approval or rejection of your refund.

Refund Approval: a. If your refund request is approved, we will initiate the refund to the original payment method used during the purchase. b. Please note that it may take 7 business days for the refund to be reflected in your account, depending on your payment provider.

Refund Rejection: a. If your refund request is rejected, we will provide you with an explanation for the decision. b. In case of a subscription auto-renewal, if you fail to cancel your subscription within the designated timeframe, refunds will not be granted for subsequent billing periods.

Exceptions: a. Please note that certain products or services may be non-refundable. Any such exceptions will be clearly stated during the purchase process.

We strive to ensure customer satisfaction and will handle refund requests in a fair and timely manner. However, we reserve the right to amend or modify this refund policy at any time without prior notice. It is your responsibility to review this policy periodically.

SECTION 4- LICENSE AGREEMENT

The Client takes into consideration that all proprietary copyrights and other intellectual property rights to the Service belongs to SummarAI. The Client is therefore obliged to use Service only within the scope of the license provided.

The Client is not entitled to grant or assign license or sub-license to a third party without prior written consent of SummarAI. The Client is also not entitled to rent the Service or otherwise make the Service available, both free of charge or for consideration, to the third parties without prior written consent of SummarAI.

SECTION 5- USER ACCOUNT

The Client may have only one User Account. Each User Account can be used by one User only. The Client is not entitled to let the User Account set up for a third party, unless it is determined by the Agreement or by these T&C. The Client is not entitled to share the User Accounts among several Users. However, the Client has the right to transfer the unused User Account to the new User at any time.

SECTION 6- RIGHTS OF SummarAI

If the Client detects any problem related to the speed of the Service or its availability, they are obliged to immediately report this incident to SummarAI. The Client takes into consideration that there may be events beyond control of SummarAI, which may influence the functionality or availability of the Service to the User (such as internet connection malfunction on the side of the Client, natural disaster, DOS or DNS attacks on technical equipment of SummarAI and others). SummarAI does not bear any responsibility for damages that occurs in connection with such events to the Client.

The Client takes into consideration and agrees that SummarAI may for serious reasons temporarily cease to provide the Service, especially in cases such as to prevent cybernetic attacks, if necessary, or in case of serious malfunction of the Service, which needs to be resolved by necessary shutdown. SummarAI is obligated to create adequate operational and safety measures to minimize potential malfunctions or limited or full unavailability of the Service.

SECTION 7- RIGHTS OF THE CLIENT

To gain access to the Service, SummarAI may request some identification data and additional information from the Client. The Client shall provide true, accurate and current information.

Upon request of SummarAI, the Client shall provide necessary cooperation while fixing malfunctions or making adjustments of Service.

The Client shall not use or access Service in other automated manner, such as through scripts, bots, web crawlers, etc. for Services provided through the web interface.

SECTION 8- LIMITATION OF LIABILITY

The Parties agreed to that the total liability of SummarAI for any claim made on basis of legal relationship arising from the Agreement and the estimated amount of damages shall not exceed and is limited to the amount equivalent of paid amount for provision of the Service in the previous calendar year. If the maximum damages under the preceding sentence cannot be determined, the maximum damages are limited to the current quarter year fee for specific Services subscribed and provided through the web interface.

SECTION 9- ACCEPTING THIS TERMS OF USE

You hereby accept the fact that you have read, understood and are willing to abide by the terms and conditions laid down in this agreement. You further agree that the terms and conditions set out under this agreement are fair, reasonable and just given the matters set out under this agreement and you waive any and all rights to have any claims against us on grounds set out above.

SECTION 10- GOVERNING LAW

These Terms and Conditions ("Terms") govern the use of the services provided by Babel Tech (Pty) Ltd ("Company," "we," "us," or "our"), a company registered in South Africa. These Terms and Conditions are governed by and construed in accordance with the laws of South Africa. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
